Q: What is Eagle Bend Golf Club?
A: Eagle Bend Golf Club is a semi-private golf club located in Bigfork, Montana featuring golf facilities at Eagle Bend and currently golf privileges at the Big Mountain Golf Club, with social facilities. The Club is offering the limited number of 495 Golf Memberships. We are rated #5 in the State by Golf Digest and Golf Week for the 2009 season.
Q: What facilities does the Club offer?
A: Members, their families and guests will enjoy the following Club Facilities:
- 27-hole championship golf course located on the north shore of Flathead Lake which is Montana's only golf course to be rated number one by Golf Digest for six consecutive years. Eagle Bend's original 18 holes were designed by William Hull Nicklaus Design completed the additional 9 holes, which live up to the Nicklaus reputation with challenging golf and gorgeous views of Flathead Lake, the Swan Mountains, and Glacier National Park;
- Full Golf practice areas with a Members Only area;
- Comfortable, casual clubhouse, featuring dining and lounge facilities and outdoor seating overlooking Eagle Bend Golf Course, Flathead Lake and Flathead Yacht Harbor, complete pro shop, men's and women's locker rooms and maintenance and storage facilities.
Q: Will members have access to the Big Mountain Golf Club?
A: Yes. Membership at Eagle Bend also allows the members, their families and guests to enjoy the 18-hole championship golf course located at Big Mountain Club designed by two-time U.S. Open Champion Andy North and Roger Packard. The course offers an exceptional combination of Scottish Links golf, rolling fairways, abundant native grasses, and towering Ponderosa pines along the scenic Stillwater River. This is a limited golf privilege.
Q: What are the privileges of a Golf Membership?
A: Each person who acquires an Eagle Bend Golf Membership will be entitled to use all of the golf and social facilities at Eagle Bend and currently Big Mountain Golf Club. Golf Members will not be required to pay greens fees for use of the golf facilities at either Eagle Bend or BMGC (Fees are waived with payment of monthly dues) but will be required to pay golf cart fees or trail fees. Golf Members will be entitled to reserve golf starting times thirty days in advance for use of the Eagle Bend or BMGC golf facilities.
Q: What are the special features of membership in the Club?
A: In addition to quality Club Facilities and an array of programs and activities for members and their families, membership in the Club currently offers a number of attractive benefits, including:
- Golf Privileges at Big Mountain Golf Club. Members of Eagle Bend Golf Club may also play golf at BMGC without paying greens fees, and will only be charged cart fees.
- Refundable Membership Deposit. One hundred percent (100%) of the membership deposit actually paid for a membership, is refundable upon resignation and reissuance of the membership, as provided for in this Membership Plan.
- Resigned Memberships Reissued Prior to Sale of All Memberships. Resigned members do not have to wait until all new memberships in the Club have been issued before their membership can be reissued and receive their refund as further described under the heading "Transfer of Memberships" in the Membership Plan.
- Transferability of Memberships. Memberships are transferable through the Club to the subsequent purchaser of a member's residence or homesite in Eagle Bend, Eagle Bend North, Harbor Village and any other community designated by the Company from time to time.
- Transfer to Member's Candidate. A member who resigns from the Club may find a membership candidate to acquire his or her resigned membership from the Club without having the resigned membership placed on a waiting list as described in the section of the Membership Plan entitled "Transfer of Membership to a Member's Candidate for Membership" or, if already on the waiting list, the resigned membership will have first priority to be sold to the member's candidate.
- Immediate Family Privileges. A member, his or her spouse and their unmarried children, under the age of 23 who are living at home, attending school on a full-time basis or in the military are entitled to membership privileges without having to pay additional membership dues.
- Extended Family Privileges. The parents, adult children who do not fall within the definition of immediate family, grandparents and grandchildren of the member and spouse and the spouses of such family members are also entitled to use the Club Facilities upon payment of reduced greens fees, which will be less than those charged the general public, and other applicable fees.
- No Assessments. Members are not subject to either operating or capital assessments.
- Preferred Pricing. Members are entitled to receive a 20% discount on list prices on all pro shop merchandise and a 10% discount on all food and beverage purchases at the Eagle Bend Club Facilities.
- Reduced Golf Cart Fees. Members will pay a reduced golf cart fee at Eagle Bend and BMGC that will be $2.00 less than the cart fee charged to the general public.
- Free Range Balls. Members will not be charged for range balls at Eagle Bend and BMGC.
- Inheritability. Upon the death of a member, the membership can be transferred to his or her spouse, adult child or heir, as described further in this Membership Plan.
- Lessee Privileges. Members may arrange for the Club to transfer their membership privileges to a lessee of the member's residence in Eagle Bend, Eagle Bend North, Harbor Village and any other community designated by the Company who has a lease term of 6 months or longer. During the period when the membership privileges are transferred, the member will not have any member privileges but may use the Club Facilities in the same manner as the general public.
- Club E-Mails. Members will receive periodic e-mails containing information about events and activities at the Club and other items of interest.
The Club reserves the right to add, change or eliminate membership benefits from time to time.
Q: Will my family members be welcome at the Club?
A: Yes. The ability to spend quality time with members of the family is of paramount importance these days. The Club is committed to providing a pleasant environment where this can be accomplished. Each membership in the Club is a family membership, which includes full privileges for spouses and unmarried children under the age of 23 who either live at home, attend school on a full-time basis, or serve in the military. The Club intends to provide programs and activities that are appealing to family members of all ages.
The Club reserves the right, from time to time, to permit the extended family of a member to use the membership privileges upon payment of such fees as may be established by the Club. The extended family shall include the parents, adult children who do not fall within the definition of immediate family, grandparents and grandchildren of the member and spouse and the spouses of such family members.
Q: May I invite guests to the Club?
A: Yes. Having your friends enjoy the Club's outstanding facilities with you is a wonderful attribute of membership in the Club. Therefore, members are entitled to have guests use the Club Facilities in accordance with the member's membership and the rules and regulations adopted by the Club from time to time.
Q: Will there be any other types of membership available in the Club?
A: The Club may issue up to fifteen (15) Honorary Memberships in the Club to such persons as the Club determines appropriate from time to time. These Honorary Memberships will be in addition to all other memberships and will be available on such terms and conditions and afford such privileges as the Club determines. All are currently issued.
Q: When will the membership deposit be repaid to the member?
A: The membership deposit actually paid by a Golf Member will be refunded, without interest, 30 years after the date the membership is issued by the Club.
If a member resigns prior to the end of the 30-year period, the membership deposit paid by a member will be refunded, without interest, within 30 days after the reissuance of the resigned membership by the Club to a new member, in accordance with the "Transfer of Membership" provision in the Membership Plan.
The Club's obligation to the member shall be evidenced by the Membership Agreement. Upon the reissuance of a resigned membership to a new member, a new 30-year period begins on the date the new membership is reissued. Any difference between the amount paid by the new member and the amount refunded to the resigning member will be retained by the Club.
Q: Who is eligible to acquire a membership in the Club?
A: Memberships will be offered to such persons as the Club determines appropriate from time to time. Applications for Membership are always welcomed. Please call (406) 837-7322 for an application.
Q: Can I arrange to have my membership transferred to the subsequent purchaser of my residence or homesite?
A: Yes. Those members who own a residence or homesite in Eagle Bend, Eagle Bend North, Harbor Village and any other community designated by the Company from time to time will be permitted to arrange through the Club for the transfer of their membership to the subsequent purchaser of their residence or homesite. The subsequent purchaser must be approved for membership and pay the then required membership deposit.
The ability to arrange for the transfer of a member's membership to the purchaser of his or her property is an important attribute of membership because, even if there are no memberships available for issuance in the Club at the time, the subsequent purchaser can nonetheless obtain the seller's membership through the Club provided the purchaser is approved for membership.
Q: How will my membership be resold if I resign and I am not selling property in one of those communities?
A: The new Membership Program provides two ways for your resigned membership to be resold if it is not being acquired by a buyer of your property. If you find a buyer for your resigned membership and introduce the buyer to the Club, the buyer can acquire the membership from the Club and you will receive your refund, even if the Club has other resigned memberships on a resale list.
Otherwise, your resigned membership will go on a resale list maintained by the Club. The Club will pay a refund to the first resigned member on the resale list upon every fourth sale of a membership.
Q: Who owns the Club Facilities?
A: Eagle Bend Golf Club, LLC, a Montana limited liability company (the "Company"), owns and operates the Club Facilities. The Company and the Club are herein sometimes collectively referred to as the "Club".
Q: Can members be assessed to cover any operating deficits or capital improvements?
A: No. Members will not be subject to any liability for capital or operating assessments for the costs and expenses of ownership or operation of the Club or the Club Facilities. The Company will pay all operating deficits incurred in the operation of the Club Facilities and will retain all operating revenues resulting from operation of the Club Facilities.
Q: How will the Club keep informed of the desires of the members?
A: The Club is committed to providing the types of services, programs, activities and events that the membership is desirous of having. An Advisory Board comprised of members of the Club, appointed by the Company, may be formed and would enable members to have input on the foregoing items as well as other matters that are of concern to the members.
Q: Do members have any protection regarding changes in the membership program?
A: Yes, the membership plan provides that the following terms and provisions cannot be changed without a vote of a majority of the members voting in person or by proxy at a meeting of the members at which at least 50% of the members vote:
- An increase in the total number of memberships which can be issued in the Club.
- The categories of membership or adding any new membership category.
- The provision stating that the Club will have an Advisory Board.
- The provision describing the amount of refund a member will receive upon resignation and resale of the membership by the Club.
- The provisions describing how resigned memberships will be resold by the Club.
- The limitations on increases in dues.
- Any termination of the Membership Plan.
- The requirement that if Eagle Bend is ever sold to a new owner, the new owner will take title subject to the terms of the then existing Membership Plan.
- The members’ right of first offer.
Q: How do I become a member?
A: To become a member of the Club, you must submit to the Club a fully completed and signed Membership Agreement and a check in the amount of the required membership deposit.
